Constitution and By-Laws

 

 

 

Article 1: Name

 

The name of the Association is: SAN CARLOS SQUIRES GOLF CLUB.

 

Article 2: Purpose

 

To provide opportunities for an amicable cadre of gentlemen to play Northern California Golf Association sanctioned golf tournaments starting at prime Sunday morning tee times at a variety of quality Northern California golf courses.

 

Article 3: Membership

 

Section 1. Members.

There shall be one c1ass of members, each having one vote. Membership is open to any adult ma1e whose home is located in Northern California. Membership shal1 be open to all past members. Application for membership, accompanied by annual dues and initiation fee shall be received, and notice thereof shall be given to the membership chairman. Membership will be approved by a majority vote of the members present at a scheduled monthly meeting. Annual dues are due October 1st and a member whose dues are delinquent 45 days shall be subject to loss of membership. Dues shall be annual and paid in advance. The amount of the dues to be set by the Board of Directors.

Section 2. Meetings.

The annual meeting of the members of the association shall be held in November of each year. The date, time, and place to be designated by notice. Notice of such annual meeting shall be given at least ten days prior to the date of the meeting. Special meetings of the voting members may be ca1led in the same manner as special meetings of board of directors, and a quorum for a meeting of the members shal1 be the same as a quorum for a meeting of the board of directors. Regular monthly meeting of the general membership shall be held on the fourth Monday of each month at 7:30 P.M. at a designated location until membership is otherwise notified.

 

Section 3. Liabilities and Property Rights of Members.

No director of the association now or hereafter e1ected, nor any member of the association shall be personally liable to its creditors for any indebtedness or 1iability, and any and all creditors shall look only to its assets for payments. On the dissolution this association, its assets remaining after payment of, or provision for payment of, all debts and liabilities of this association shall be distributed to a nonprofit fund, foundation, or organization that is organized and operated exclusively for charitable purposes. The Membership shall approve the distribution with a majority vote as outlined in the Amendments.

Article 4: Governing Body

 

A. The Governing Body of the Club shall be the Board of Directors together with the chairmen of the permanent committees.

 

B. The Board of Directors shall consist of:

3. Secretary

4. Treasurer

5. Member-at-Large (Immediate Past President)

 

C. The Board of Directors of the Club shall appoint Chairmen of the Permanent Committees.

 

D. Compensation. The directors shall receive no compensation for their services as such.

 

E. The permanent committees shall be:

3.   Handicap

 

F.    DUTIES OF THE GOVERNING BODY

PRESIDENT

1. Preside at all regular and board meetings.

2. Ex-officio member of all committees.

3. Coordinate all activities of the Club.

 

 

 

VICE-PRESIDENT.

1. Act for the president in event of his incapacity or

Absence.

2. Social chairman.

3. Activities chairman.

SECRETARY

  1. Keep minutes of all regular and governing body meetings

2. Club Correspondent.

3. Pub1ish Monthly Bul1etin.

TREASURER

1. Receive and account for all Club funds.

  1. Disburse funds, subject to approval by governing body.
  2. Distribute in writing full account of transactions done in the San Carlos Squires Golf Club bank Account to all members at the beginning of each year.

MEMBER-AT-LARGE

1. Immediate Active Past President

2. Chairman of the nominating committee.

3. Club Historian.

MEMBERSHIP CHAIRMAN

  1. Initiate continuous plans for obtaining new members as directed by the governing body and follow through to conclusion.
  2. Receive applications for membership from prospective members.
  3. Maintain, and provide copies of an up-to-date club roster and by-laws, to the governing body members and others as needed.

4.   Notify members of forthcoming meetings and special events as directed by the Board of Directors.

GOLF CHAIRMAN

1.   Arrange and Manage Golf Tournaments.

2.   Collect Greens fees and make all financial arrangements with Golf Courses

3.   Award Flight winner prizes and Club Championship trophies

4.   Distribute once a year a copy of the tournament rules Of the San Carlos Squires Golf Club.

5.   Distribute in writing a copy of all transactions done in the San Carlos Golf Club account once a year to all members at the beginning of each year. This would include the regular Golf account and the hole-in-one account.

6.   A copy of who has paid for the hole in one insurance before the first Golf Tournament each year.

HANDICAP CHAIRMAN

1.   Collection of tournament scorecards

2.   Verification of individual tournament scores

3.   Electronic input of adjusted tournament scores into GHIN/NCGA system

4.   Input new member information into GHIN/NCGA system

5.   Distribute NCGA Handicap index information to club members monthly

6.   Establish tournament Flights and publish results

7.   Publish club championship standings monthly

 

Article 5: ELECTIONS

 

A. Chairman of the nominating committee shall be the Member-at-Large; the nominating committee shall consist of at least two (2) other members.

 

B. No member can be nominated for two offices of the board of directors.

 

C. The nominating committee shall submit the name of one willing candidate for each elective office at the October monthly meeting.

 

D. Nominations for officers may also be made from the floor at the November meeting. Nominations will be closed at the November meeting.

 

E. Officers shall be elected by a simple majority vote at the November meeting.

Article 6: GUEST PRIVILEDGES.

 

Guest privileges may be extended to an individual no more than two meetings in any one calendar year without the individual applying for membership.

Article 7: ORDER OF BUSINESS

 

The order of business shall be governed by RobertŐs Rules of Order.

Article 8: VACANCIES IN OFFICE

 

The Board of Directors shall make appointments to fill all vacancies, which occur during Term of Office.

Article 9: AMENDMENTS

 

These By-Laws may be amended at any regular meeting, a quorum being present or by proxy, by a majority vote; provided that a verbal notice is given at the regular meeting preceding and a written notice mailed and post marked or by email to all members ten (10) days prior to voting. A quorum is defined as 50% of the membership. Members may also cast absentee ballots via the U.S. Mail or email.

I, the undersigned, do hereby certify that I am, the duly elected, and acting members of the Board of Directors of the SAN CARLOS SQUIRES GOLF CLUB, a California nonprofit association, and that the foregoing By-Laws constitute the By-Laws of the said club as duly adopted at a meeting of the membership thereof duly held on July 24, 2006.
